1. About Payone

Payone is a Canadian payment solutions provider specialising in Interac e-Transfer processing. We enable businesses operating across a range of markets — including digital asset (cryptocurrency) OTC desks, e-commerce, and other online merchants — to accept Interac-based payments in a fast, secure, and compliant manner. By using our services, you agree to be bound by these Terms and Conditions in full.

2. Acceptance of Terms

By accessing or using Payone's platform, APIs, or any related services, you confirm that you have read, understood, and agree to these Terms and Conditions. If you do not agree, you must not use our services. These terms apply to all merchants, partners, and users of the platform.

3. Eligible Use and Supported Markets

Payone's Interac payment infrastructure is available to businesses operating in approved market segments. Supported use cases include, but are not limited to:

  • Cryptocurrency OTC (over-the-counter) trading desks accepting CAD deposits via Interac e-Transfer
  • E-commerce merchants requiring domestic Canadian payment acceptance
  • Digital goods and services platforms
  • Other online businesses subject to Payone's approval and onboarding review

All merchants must complete Payone's onboarding and KYB (Know Your Business) process prior to processing payments. Payone reserves the right to decline or terminate service to any merchant whose activities conflict with applicable laws or Payone's risk policies.

4. Compliance and Regulatory Obligations

Payone operates in compliance with Canadian financial regulations, including but not limited to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and FINTRAC reporting requirements. Merchants using Payone to accept Interac payments — particularly those operating in the cryptocurrency and digital asset space — must maintain their own AML/KYC compliance programs in accordance with applicable regulations. Payone may request supporting documentation at any time as part of ongoing due diligence.

5. Account Registration

To access Payone's services, merchants must register and provide accurate, current, and complete information including business registration details, beneficial ownership information, and intended use of the payment service. You are responsible for maintaining the security of your account credentials and for all activity conducted under your account.

6. Fees and Settlement

All applicable fees — including MDR (Merchant Discount Rate), transaction fees, interchange fees, and network charges — are set out in your individual merchant agreement. Settlement timelines and net pay-out amounts are determined by your agreement terms. Payone reserves the right to adjust fees with prior written notice. Detailed fee breakdowns are available in your merchant portal.

7. Prohibited Activities

You must not use Payone's services for any purpose that is unlawful or prohibited. The following activities are expressly prohibited:

  • Processing payments related to illegal goods, services, or activities under Canadian law
  • Money laundering, terrorist financing, or structuring transactions to avoid reporting thresholds
  • Misrepresenting the nature of your business or the purpose of transactions
  • Unauthorised use of another party's banking credentials or Interac account
  • Processing payments on behalf of undisclosed third parties (payment facilitation) without prior written consent from Payone

8. Transaction Monitoring and Holds

Payone employs automated and manual transaction monitoring to detect unusual or suspicious activity. We reserve the right to place holds on, delay, or reverse transactions where fraud, compliance concerns, or policy violations are suspected. Merchants will be notified where permitted by law. Payone shall not be liable for losses arising from transaction holds undertaken in good faith.

9. Intellectual Property

All content, branding, software, and technology forming part of the Payone platform is the exclusive property of Payone and is protected under applicable Canadian intellectual property law. You may not copy, reproduce, modify, or distribute any part of the platform without express written permission.

10. Limitation of Liability

To the fullest extent permitted by Canadian law, Payone shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of our services, including losses arising from transaction delays, holds, or service interruptions. Payone's total aggregate liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

11. Termination

Either party may terminate the merchant agreement with written notice in accordance with the terms of the agreement. Payone reserves the right to suspend or terminate access immediately in cases of suspected fraud, regulatory breach, or material violation of these Terms and Conditions.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of British Columbia.

13. Changes to Terms

Payone reserves the right to update these Terms and Conditions at any time. Material changes will be communicated via email or a notice within the merchant portal. Continued use of our services after the effective date of any update constitutes acceptance of the revised terms.
